IMPORTANT – READ CAREFULLY: This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "You" or "User") and Edgar Wentzlaff, EUU.ROCKs ("Licensor," "we," "us," or "our") for the S3lect software product, including any associated media, printed materials, and electronic documentation (collectively, the "Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
Subject to the terms of this EULA and payment of the applicable license fee, Licensor grants you a non-exclusive, non-transferable, limited license to:
The Basic License is intended for use by a single individual user and may not be shared, transferred, or sublicensed to any other person or entity.

The Pro License is intended for use by a single individual user and may not be shared, transferred, or sublicensed to any other person or entity.
The Enterprise License is governed by a separate written agreement between you and Licensor. The Enterprise License allows:

The Software is licensed, not sold. This EULA grants you only a limited right to use the Software. Licensor and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein.
All rights not expressly granted to you in this EULA are reserved by Licensor.
Upon purchase of a Basic or Pro license, you will receive a unique license key. This license key is required to activate and use the Software. You are responsible for keeping your license key confidential and secure.
The Software may require online activation and periodic validation of your license. When you activate the Software, the following information may be transmitted to our license server:
This information is used solely for license validation and to enforce device activation limits. No usage data, AWS credentials, or information about your S3 buckets is transmitted.
You may deactivate the Software on a device to free up an activation slot for use on another device. Deactivation can be performed through the Software interface or by contacting our support team.
Enterprise licenses do not require activation or online validation. The Software can be used completely offline without communicating with our license server.
All license types include lifetime access to software updates at no additional cost. Updates may include bug fixes, performance improvements, new features, and security patches. Licensor reserves the right to discontinue support for very old versions of the Software.
Support is limited to assistance with installation, activation, and basic functionality of the Software. Licensor is not obligated to provide support for issues arising from:
The Software is designed to operate locally on your device. The Software does NOT:
All interactions with AWS S3 and compatible storage services occur directly between your device and the respective cloud service providers. Your AWS credentials and data remain exclusively on your local device.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You acknowledge that the Software is a tool for managing cloud storage and that you are solely responsible for:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES) ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Licensor's liability shall be limited to the greatest extent permitted by law.
In any case, Licensor's total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you for the Software license.
You agree to indemnify, defend, and hold harmless Licensor, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
This EULA is effective from the date you first install or use the Software and continues until terminated.
You may terminate this EULA at any time by permanently deleting the Software from all devices and destroying all copies in your possession or control.
Licensor may terminate this EULA immediately if you:
Upon termination of this EULA:
Sections 3, 7, 8, 9, 11, and 12 of this EULA shall survive any termination.
This EULA shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the courts located in Germany, to the extent permitted by applicable law.
This EULA constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software.
Licensor reserves the right to modify this EULA at any time. If modifications are made, Licensor will make reasonable efforts to notify you. Your continued use of the Software after any such modifications constitutes your acceptance of the modified EULA. If you do not agree to the modified EULA, you must cease using the Software.
If any provision of this EULA is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
No waiver of any term or condition of this EULA shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition.
You may not assign or transfer this EULA or any rights granted hereunder without the prior written consent of Licensor. Any attempted assignment in violation of this provision shall be void.
You agree to comply with all applicable export and import laws and regulations. You shall not export, re-export, or transfer the Software to any country, entity, or person prohibited by applicable law.
